Host Agreement

Effective July 17, 2026.

This Host Agreement ("Agreement") supplements and incorporates the rsrvi Terms and Conditions and Privacy Policy. "You" or "Host" means a venue owner who lists a space on rsrvi; "Company," "we," or "us" means Tsuaf LLC d/b/a rsrvi. "Company Parties" has the meaning given in the Terms.

1. Relationship of the parties

You are an independent contractor. Nothing in this Agreement creates an employment, agency, partnership, or joint-venture relationship. You are not authorized to bind the Company, and the Company is not a party to any booking, rental, or event agreement between you and an organizer.

2. Eligibility & verification

You must be at least 18, have the legal right to list and rent the venue, and complete identity verification (KYC) through Stripe Connect before accepting bookings. You authorize the Company and Stripe to verify your identity and eligibility, and you agree to provide accurate information.

3. Your listings

You are solely responsible for the accuracy of your listings (capacity, condition, location, pricing, rules, availability, and photographs) and for having all rights to any content you upload. Listings must comply with all applicable laws and with the rsrvi Acceptable Use and Trust & Safety policies.

4. Legal compliance & permits

You are responsible for obtaining and maintaining all permits, licenses, certificates of occupancy, and insurance, and for compliance with all fire-code, occupancy, accessibility (ADA), alcohol/liquor, health, and noise/nuisance laws applicable to your venue and any event held there.

5. Non-discrimination

You may not decline or treat bookers differently on the basis of any characteristic protected under applicable federal, Florida, or local public-accommodation and fair-housing laws.

6. Fees & payouts

The Company charges a platform fee, disclosed on each booking. Bookers pay the Company; funds are held until the event is completed, at which point the Company transfers the booking total minus the platform fee and any applicable taxes to your connected Stripe account. Payouts require completed KYC verification and no open dispute on the booking. Payments are processed by Stripe under the Stripe Connected Account Agreement, which you must accept and comply with.

7. Taxes

You are solely responsible for determining, collecting, remitting, and reporting any sales, occupancy, or other transaction taxes on your bookings, and for your own income taxes. To the extent required by law, the Company and/or Stripe will provide you (or file) any applicable tax information return — such as a Form 1099-K or 1099-NEC — if your earnings meet the reporting threshold. You are responsible for providing accurate taxpayer information (e.g., a valid Form W-9) when requested. The Company does not act as a marketplace facilitator for tax collection unless and until it notifies you.

8. Cancellations & refunds

Bookings are governed by the cancellation policy you select (Flexible / Moderate / Strict) and the Company's Refund Policy. You agree to honor accepted bookings.

9. Insurance

You are responsible for maintaining adequate liability and property insurance for your venue and any events held there.

10. Disputes & chargebacks

An open dispute or chargeback on a booking freezes the related payout until it is resolved. You agree to cooperate and to provide evidence promptly on request.

11. Suspension & termination

The Company may suspend or remove a listing, or terminate your access, for violation of this Agreement, the Terms, or applicable law, or to protect users. You may stop listing at any time; obligations tied to completed or pending bookings survive termination.

12. Indemnification

You agree to indemnify, defend, and hold harmless the Company Parties from and against any claims arising out of your venue, your events, your content, your breach of this Agreement, or your violation of any law, consistent with the indemnification section of the Terms.

13. Representations & warranties

You represent and warrant that you have the authority to enter into this Agreement and the legal right to list and rent the venue.

14. Governing law & disputes

Florida law governs this Agreement, consistent with the dispute-resolution, arbitration, class-action-waiver, and venue provisions of the Terms, which are incorporated by reference.
