What you agree to.

These terms govern your use of rsrvi. By creating an account or making a booking you agree to them. The full text is hosted by our template-service provider and embedded below; the summary that follows is a plain-English orientation.

I.

The full agreement

Terms of Service

Effective August 7, 2026.

THIS AGREEMENT CONTAINS A BINDING ARBITRATION AGREEMENT AND A CLASS-ACTION WAIVER IN THE SECTION TITLED “DISPUTE RESOLUTION.” IT AFFECTS YOUR LEGAL RIGHTS AND MAY REQUIRE YOU TO RESOLVE DISPUTES WITH TSUAF LLC D/B/A RSRVI IN BINDING, INDIVIDUAL ARBITRATION RATHER THAN IN COURT. PLEASE READ IT CAREFULLY. YOU MAY OPT OUT OF ARBITRATION AS DESCRIBED IN THAT SECTION.

These Terms of Service (the “Agreement” or “Terms”) govern your access to and use of the websites, mobile applications, and services (collectively, the “Services” or the “Platform”) provided by Tsuaf LLC d/b/a rsrvi (“rsrvi,” the “Company,” “we,” “us,” or “our”). “Company Parties” means the Company, its affiliates, and their respective officers, directors, employees, agents, contractors, and service providers. By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Acceptance of Terms

By creating an account, listing a venue, requesting or accepting a booking, making or receiving a payment, or otherwise accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and by the policies incorporated herein by reference, including our Privacy Policy, Cookie Policy, Refund Policy, and, for Hosts, the Host Agreement.

2. Eligibility; Age Requirement

You must be at least 18 years of age and able to form a legally binding contract to use the Services. By using the Services, you represent and warrant that you are at least 18 years old. If you use the Services on behalf of a business or other legal entity, you represent that you have authority to bind that entity, in which case “you” refers to that entity. The Services are not directed to, and we do not knowingly collect information from, anyone under 18.

3. Marketplace Role; No Agency; Not a Broker

rsrvi is a venue-booking marketplace that connects “Hosts” who list venues with “Organizers” who book them and “Attendees” who participate in events. The Company provides an online technology platform only.

The Company is not a party to any booking, rental, license, or event agreement between users; does not own, operate, manage, inspect, supervise, or control any venue; and is not the organizer, promoter, or host of any event.

The Company is not a real estate broker, real estate or leasing agent, property manager, insurer, or agent of any Host or Organizer, and does not represent either party in, or receive a commission for brokering, any transaction. The platform fee described in these Terms is a technology and service fee for use of the Services, not a brokerage commission.

The Company does not guarantee or warrant the existence, ownership, condition, safety, legality, accessibility, or suitability of any venue; the truth or accuracy of any listing; the identity, conduct, or fitness of any user; or the occurrence, quality, or safety of any event. Any screening, verification, or identity or payment checks the Company may perform are limited and do not constitute an endorsement, guarantee, or assumption of responsibility. Each user is solely responsible for its own acts and omissions and for compliance with all laws applicable to its use of the Services and to its venue or event.

4. Accounts and Registration

To use certain features you must register an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account, whether or not authorized by you. You must promptly notify us of any suspected loss, theft, or unauthorized use of your account. Hosts must provide accurate identity and verification (KYC) information as required to receive payouts. We may suspend, restrict, or terminate accounts as described in these Terms.

5. License to Use the Platform

Subject to these Terms, the Company grants you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable license to access and use the Services for their intended purpose. This license does not transfer any ownership interest in the Services. You may not use the Services for any unlawful purpose or in any manner not expressly permitted by these Terms.

6. Intellectual Property

The Company owns or licenses all right, title, and interest in and to the Services, including all software, text, graphics, logos, trademarks, and other content the Company provides (excluding user-provided content), and all such rights are reserved. You may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works of any part of the Services except as expressly permitted by these Terms or applicable law. “rsrvi” and related marks are trademarks of the Company; you may not use them without our prior written consent.

7. Privacy

Our collection and use of personal information is governed by our Privacy Policy and Cookie Policy, each incorporated into these Terms by reference. Please review them to understand our practices.

8. Bookings; Marketplace Transactions

The Services allow Organizers to submit booking requests for venues listed by Hosts. A booking is a direct agreement between the Organizer and the Host; the Company is not a party to it. When an Organizer submits a request, no charge is made until the Host accepts. Upon acceptance, payment is authorized and processed as described in Section 9. The Host is responsible for the accuracy of its listing (including capacity, condition, location, pricing, availability, house rules, and cancellation policy), and the Organizer is responsible for reviewing and complying with those terms. The Company may, but is not obligated to, decline, cancel, or limit bookings that appear to present fraud, safety, or legal risk.

9. Payments, Fees, and Refunds

Payments are processed by Stripe under Stripe's own terms; Stripe is the merchant of record for card processing. The Company facilitates payment between Organizers and Hosts and does not sell venues or events. Following a Host's acceptance, the Organizer's payment is held by the platform and released to the Host, minus the applicable platform fee, after the event is completed. The platform fee is disclosed at checkout.

Cancellations and refunds are governed by the cancellation policy the Host selects for the venue (shown at checkout before payment) and by the Company's Refund Policy, each of which applies to a given booking. Card refunds, when due, are processed through Stripe. Prices do not include applicable state or local taxes; where required, collecting and remitting such taxes is the Host's or Organizer's responsibility, as applicable. The Company does not act as a marketplace facilitator for tax-collection purposes unless and until it notifies users that it has assumed that role.

10. Acceptable Use; Prohibited Conduct

You agree that you will not, and will not assist or permit any third party to:

  • use the Services for any unlawful, fraudulent, deceptive, or harmful purpose;

  • post false, misleading, or fraudulent listings, or create fake, duplicate, or impersonating accounts or identity/verification information;

  • post fake, retaliatory, or incentivized reviews, or otherwise manipulate ratings;

  • harass, threaten, defame, or abuse any person, or engage in hate speech, discrimination, or violence;

  • infringe any intellectual-property, privacy, or publicity right, or upload content you do not have the right to use;

  • post others' private or personal information without permission;

  • send spam or unsolicited marketing, including through in-app messaging or the event-invitation feature;

  • scrape, use bots, reverse engineer, probe or circumvent security, introduce malware, or interfere with the Services;

  • circumvent the United States-only geographic restriction, or use the Services if barred under applicable law or sanctions/denied-party lists;

  • arrange or complete bookings, or take or redirect payment, off-platform to avoid platform fees; or

  • initiate fraudulent, abusive, or bad-faith chargebacks, refunds, or disputes.

Host / venue-owner obligations

  • You must have the legal right to list and rent the venue.

  • You are responsible for obtaining and maintaining all permits, licenses, certificates of occupancy, and insurance, and for compliance with all fire-code, occupancy, accessibility (ADA), alcohol/liquor, health, and noise/nuisance laws applicable to your venue and any event held there.

  • Your listings must be accurate as to capacity, condition, location, pricing, availability, and rules.

  • You may not discriminate against Organizers or Attendees on the basis of any protected class.

Organizer obligations

  • Your event must be lawful, and you are responsible for obtaining any required permits and for the conduct and safety of your Attendees and guests.

  • You are responsible for any taxes you are obligated to collect or remit.

Content

  • You may not post content that is illegal, obscene, defamatory, misleading, or that violates a third party's rights.

11. User Content and Submissions

You retain ownership of the content you submit (including listings, photos, reviews, and messages) (“User Content”). By submitting User Content, you grant the Company a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, and distribute that content solely as necessary to operate, provide, and promote the Services. You represent that you own or control all rights necessary to grant this license. The Company may, but is not obligated to, review, moderate, or remove User Content in its reasonable discretion.

12. Assumption of Risk

You understand and acknowledge that booking, hosting, or attending in-person events at physical venues involves inherent risks, including the risk of bodily injury, illness, death, property damage, theft, and loss, and risks arising from the condition of a venue, the acts or omissions of other users or third parties, and the consumption of food or alcohol. You voluntarily and knowingly assume all such risks, whether known or unknown, arising out of or relating to your use of the Services, your access to or use of any venue, and your participation in or hosting of any event.

13. Release and Waiver

To the fullest extent permitted by applicable law, you knowingly and voluntarily release and forever discharge the Company Parties from any and all claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees), whether known or unknown, arising out of or relating to: (a) your interactions, communications, transactions, or disputes with any other user or third party; (b) the condition, safety, accessibility, or legality of any venue; (c) the acts, omissions, or conduct of any Host, Organizer, Attendee, or other third party; (d) any event, booking, cancellation, or refund; and (e) any injury, death, or property damage occurring at or in connection with a venue or event.

You expressly intend this release to extend to claims based on the Company Parties’ own ordinary negligence, to the fullest extent permitted by Florida law. This release does NOT apply to, and you do not waive, claims arising from the Company’s own gross negligence, willful or wanton misconduct, intentional torts, or fraud, or any liability that cannot be waived or limited under Florida law.

14. Third-Party Links and Services

The Services may contain links to, or rely on, third-party websites and services (including Stripe, mapping, and communications providers). The Company does not control and is not responsible for third-party sites or services, and your use of them is governed by their own terms. Inclusion of a link does not imply endorsement.

15. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES AND ALL VENUES, LISTINGS, AND CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. THE COMPANY MAKES NO WARRANTY THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY VENUE, HOST, ORGANIZER, OR EVENT WILL MEET YOUR EXPECTATIONS.

16. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, THE COMPANY PARTIES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICES, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE COMPANY PARTIES’ TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE TOTAL PLATFORM FEES YOU PAID TO THE COMPANY IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). NOTHING IN THIS SECTION LIMITS LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW (INCLUDING FOR GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR FRAUD). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

17. Indemnification

You agree to indemnify, defend, and hold harmless the Company Parties from and against any and all third-party claims, demands, actions, investigations, liabilities, damages, losses, judgments, settlements, costs, and expenses (including reasonable attorneys’ fees and costs) arising out of or relating to: (a) your access to or use or misuse of the Services; (b) your breach of these Terms or violation of any law or the rights of any third party; (c) any venue you list, manage, book, or use, and any event you host, organize, promote, or attend, including any bodily injury, death, illness, or property damage arising at or in connection with a venue or event; (d) any User Content you submit; (e) your interactions or disputes with any other user or third party; and (f) your failure to collect, remit, or report any tax that is your responsibility.

The Company will provide reasonable notice of any claim and may assume the exclusive defense and control of any matter subject to indemnification, in which case you will cooperate. This indemnification does not apply to the extent a claim results from the Company's own gross negligence, willful misconduct, or fraud, and survives termination of these Terms.

18. Communications; SMS; Electronic Notices

You consent to receive communications from us electronically, including by email, in-app message, push notification, and, where you have provided a mobile number, SMS text message relating to your account, bookings, verification, and security. Message and data rates may apply. You may opt out of non-essential messages as described in those communications or by contacting [email protected]. Certain transactional or security messages are necessary to the Services and may not be opted out of while you maintain an account.

19. Term and Termination

These Terms apply while you use the Services. You may stop using the Services at any time. We may suspend or terminate your access, with or without notice, if you violate these Terms, engage in fraudulent or abusive activity, or if your continued use poses legal, safety, or reputational risk to us or others. Sections that by their nature should survive termination (including Sections 3, 6, 12, 13, 15–17, 20–21, and 24–31) survive.

20. Dispute Resolution; Binding Arbitration; Class-Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT REQUIRES DISPUTES TO BE RESOLVED BY BINDING INDIVIDUAL ARBITRATION AND WAIVES YOUR RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION. YOU MAY OPT OUT AS DESCRIBED BELOW.

**Informal resolution first. **Before starting an arbitration, you and the Company agree to try to resolve the dispute informally for sixty (60) days after written notice of the dispute, which must describe the dispute and the relief sought.

**Agreement to arbitrate. **Except for the excluded claims below, you and the Company agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be resolved by binding arbitration on an individual basis, administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules (and its Mass Arbitration Supplementary Rules where applicable), before one (1) arbitrator. The Federal Arbitration Act governs this section. Arbitration fees are governed by the applicable AAA rules. The arbitration will be held in Seminole County, Florida, or by videoconference, at the consumer's election where the AAA rules so provide.

**Exceptions. **Either party may bring an individual claim in small-claims court in the claimant's county of residence if it qualifies, and either party may seek injunctive or other equitable relief in court to protect intellectual-property rights or to address unauthorized access to or misuse of the Services.

**Class-action and jury-trial waiver. **You and the Company agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. You and the Company waive any right to a jury trial.

**30-day right to opt out. **You may opt out of this arbitration section by sending written notice to PO Box 18033, Casselberry, FL 32718 or [email protected] within 30 days of first accepting these Terms, stating your name, the email associated with your account, and a clear statement that you wish to opt out of arbitration. Opting out does not affect any other part of these Terms.

**Severability. **If the class-action waiver is held unenforceable as to a particular claim, that claim will proceed in court while all other claims proceed in arbitration. The arbitrator's decision is final and binding, subject to the limited review available under the Federal Arbitration Act.

21. Governing Law and Venue

These Terms are governed by the laws of the State of Florida and applicable U.S. federal law, without regard to conflict-of-law principles. The U.N. Convention on Contracts for the International Sale of Goods does not apply. For any claim not subject to arbitration and not brought in small-claims court, you and the Company consent to the exclusive jurisdiction and venue of the state and federal courts located in Seminole County, Florida, and waive any objection to that venue.

22. FDUTPA Compliance

You acknowledge that your use of the Services shall not involve any deceptive, unfair, or misleading practices prohibited under the Florida Deceptive and Unfair Trade Practices Act. The Company reserves the right to terminate accounts and pursue remedies under Florida law for conduct deemed deceptive or unfair in connection with the Services.

23. Data-Breach Notice (Fla. Stat. § 501.171)

In compliance with Florida Statutes § 501.171, the Company will provide notice of any data-security breach involving your personal information as required by law. You agree to promptly notify the Company if you suspect unauthorized use of your account or credentials.

24. Export Controls and Sanctions

You may not use, export, re-export, or transfer the Services in violation of U.S. export-control, sanctions, or import laws, including the Export Administration Regulations (EAR) and regulations administered by the U.S. Department of the Treasury's Office of Foreign Assets Control (OFAC). You represent and warrant that you are not subject to U.S. sanctions or export restrictions, are not located in a comprehensively sanctioned country or region, and will not use the Services for any prohibited end-use.

25. Force Majeure

The Company is not liable for any delay or failure to perform resulting from causes beyond its reasonable control, including natural disasters, war, terrorism, riots, embargoes, acts of civil or military authority, government orders or lockdowns, fire, flood, accident, strikes, cyber intrusions, or shortages of transportation, fuel, energy, labor, or materials.

26. Assignment

The Company may assign these Terms, in whole or in part, at any time with or without notice. You may not assign or transfer these Terms without the Company's prior written consent, and any attempted assignment in violation of this section is void.

27. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide reasonable notice (for example, by email or through the Services) before they take effect. Changes are not retroactive and will not alter the process for resolving a dispute of which you have already notified us. Your continued use of the Services after the effective date of updated Terms constitutes acceptance of them. If you do not agree to the updated Terms, you must stop using the Services.

28. Severability

If any provision of these Terms is held invalid or unenforceable, that provision will be modified to the minimum extent necessary or severed, and the remaining provisions will continue in full force and effect.

29. Entire Agreement; Waiver

These Terms, together with the policies incorporated by reference, constitute the entire agreement between you and the Company regarding the Services and supersede all prior agreements and understandings on that subject. The Company's failure to enforce any provision is not a waiver of its right to do so later. A printed version of these Terms is admissible in judicial or administrative proceedings.

30. Electronic Signatures

By using the Services, you consent to the use of electronic records and signatures in connection with all transactions and communications, as permitted under the Florida Electronic Signature Act and the federal E-SIGN Act.

31. Notices

Notices to the Company must be in writing and sent to PO Box 18033, Casselberry, FL 32718 or [email protected]. We may provide notices to you by email, in-app message, or posting through the Services.
